All Nameera Solutions users (account holders or not) must comply with Nameera's Terms. Use of any of Nameera Solutions Services constitutes acceptance and agreement of Nameera's Terms.

Construction and Interpretation:
Wherever in this NS's terms the masculine, feminine, or neuter gender is used, it will be construed as including all genders, and wherever the singular is used, it will be deemed to include the plural and vice versa, and wherever "NS", "NAMEERA", "NAMEERA SOLUTIONS", "NAMEERASOLUTIONS", it will be deemed to mean NAMEERASOLUTIONS.COM, where the context so requires. The division of the NS's terms into sections/paragraphs, and the insertion of headings/captions, are for convenience of reference only and will not affect the construction or interpretation of the NS's terms. Any rule of construction to the effect that any ambiguity is to be resolved against the drafting party will not be applicable in the construction or interpretation of the NS's terms.


Security and Network Integrity:
Any cgi script, Web Hosting or E-Commerce account that poses security risk or is deemed to be adversely affecting server performance or network integrity will be shut down without prior notice.


Service Availability:
Services are provided on the basis of service, facility and equipment availability. We reserve the right not to provide one or more Services where necessary facilities, equipment or services are not available for any reason.


Service Rates:
Subscriber acknowledges that the nature of the service furnished and the initial rates and charges have been communicated to Subscriber. Subscriber is aware that the Company may prospectively change the specified rates and charges from time to time. The promotional offer is contingent upon Company achieving and maintaining its cost of service goals including but not limited to rates charged to company by its suppliers.


Bandwidth and Disk Usage:
Customer agrees that bandwidth and disk usage shall not exceed the number of megabytes per month for the Services ordered by Customer on the Order Form. Nameera will monitor Customer's bandwidth and disk usage. Nameera shall have the right to take corrective action if Customer's bandwidth or disk usage exceeds the Agreed Usage. Such corrective action may include the assessment of additional charges, disconnection or discontinuance of any and all Services, or termination of this Agreement, which actions may be taken is in Nameera's sole and absolute discretion. If Nameera takes any corrective action under this section, Customer shall not be entitled to a refund of any fees paid in advance prior to such action. In the event that a customer exceeds the included allocation, Nameera may, at its sole discretion, collect a deposit, in an amount determined by Nameera, against customer's credit card on file with Nameera.


Web Hosting for Charities:
Site must only be used for the charity's purposes. Offer is contingent upon NameeraSolutions approval. Your site is prohibited from acting as a file repository or to serve files for other sites. The Charity must be a Non Profit Organization. All the of NameeraSolutions other terms apply as well.


Fair Use & Resource Assignment:
NameeraSolutions offers high amounts of disk space and/or other resources, such as bandwidth transfer, email or FTP accounts. The intention of NameeraSolutions is to provide ample resources for customer convenience, so that customers need not worry about exceeding limits. It is acknowledged by users of NameeraSolutions services that these resource allotments are optimized and dedicated towards serving web documents and self-need email / FTP services and is not to be used as offsite storage area for electronic files, or as a provisioning service for third party email or FTP hosts. All downloadable files or files stored on the server must be available for download via HTML documents stored on the Internet in a publicly or privately accessible area, and must be directly related to the general nature of the website index. Illegal content such as pirated software, music or other media are strictly prohibited and are not allowed on NameeraSolutions servers. It is also acknowledged by users of NameeraSolutions services that these resources are limited by physical restraints of technology as well as by reasonable limits of a shared resource environment. Users must realize that server technology limits the amount of available resources for use, including but not limited to disk space, CPU processing power, memory and access speed. NameeraSolutions takes measures to utilize the latest and most economically feasible mass server market technology available to provide services. It is furthermore acknowledged by users of NameeraSolutions services that all provided services are of a shared-server nature, and other users are sharing the provided space. Customer accounts are placed on a server with up to hundreds of other users. NameeraSolutions, along with many other hosting providers use this business model in order to offer web hosting services en masse at inexpensive and affordable rates. It is acknowledged that any single account is entitled to utilize the server resources, within reason, up to what is allotted or by what is physically available. If resources become scarce, NameeraSolutions reserves the right to limit users of the affected machine to a lower limit to preserve the effectiveness of the service for all users. If a particular user is in extreme excess of what the average users of the machine have in use (actually used) of their resource allotments, that customer may be asked to remove content, cut resource usage, or upgrade to a VPS or a dedicated server. This policy only applies to web sites that are considered to be abusive in service, disk space or resource consumption and where it is evident that the fair use of resources among customers has been breached, particularly in regards to disk space, bandwidth or CPU processing power utilization. Additionally, web sites that are found to contain either no html documents, or a large number of unlinked files are subject to warning, suspension or cancellation at the sole discretion of NameeraSolutions. If NameeraSolutions determined a "Fair Use" breach occurs by a user, subscriber may have to remove files from or reduce access to subscriber's account to an extent as determined by NameeraSolutions, in order to restore full service ability to other subscribers affected by the breach. In any case, the subscriber will be notified of any actions that NameeraSolutions may have to take.


Disclaimer:
Subscriber acknowledges that the service provided is of such nature that service can be interrupted for many reasons other than the negligence of the company and that damages resulting from any interruption of service are difficult to ascertain. Therefore, subscriber agrees that the company shall not be liable for any damages arising from such causes beyond the direct and exclusive control of the company. Subscriber further acknowledges that the company's liability for its own negligence may not in any event exceed an amount equivalent to charges payable by subscriber for services during the period damages occurred. In no event shall the company be liable for any special or consequential damages, loss or injury. Nameera is not responsible for any damages your business may suffer. Nameera does not make implied or written warranties for any of our services. Nameera denies any warranty or merchantability for a specific purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by Nameera. The NS service is provided on an as is, as available basis without warranties of any kind, either expressed or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose or non-infringement. NS expressly disclaims any representation or warranty that the NS service will be error-free, secure or uninterrupted. No oral advice or written information given by NS, its employees, licensors or the like, will create a warranty; nor may you rely on any such information or advice. NS and its partners and suppliers will not be liable for any cost or damage arising either directly or indirectly from any transaction or use of the service.


Limitation Of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT, AND UNDER NO THEORY OF LAW OR EQUITY, WILL NAMEERA (INCLUDING, WITHOUT LIMITATION, NAMEERA’S EXECUTIVES, DIRECTORS, OFFICERS, ATTORNEYS, MANAGERS, EMPLOYEES, CONSULTANTS, CONTRACTORS, AGENTS, PARENT COMPANIES, SUBSIDIARIES, CO-SUBSIDIARIES WITH THE SAME PARENT COMPANY AS NAMEERA, AFFILIATES, THIRD-PARTY PROVIDERS, MERCHANTS, LICENSORS, OR THE LIKE) OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING, OR DISTRIBUTING NAMEERA’S SERVICES, BE LIABLE FOR THE LOSS OF A DOMAIN NAME, OR ANY BUSINESS OR PERSONAL LOSS, REVENUES DECREASE, EXPENSE'S INCREASE, COSTS OF SUBSTITUTE PRODUCTS AND/OR NAMEERA SERVICES, OR ANY OTHER LOSS OR DAMAGE, OR FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF ANY USE OF, OR ANY INABILITY TO USE, ANY NAMEERA'S SERVICES EVEN IF NAMEERA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NAMEERA’S TOTAL CUMULATIVE LIABILITY, IF ANY, TO CUSTOMER, OR ANY THIRD PARTY, FOR ANY AND ALL DAMAGES, RELATED TO NAMEERA'S TERMS OR NAMEERA’S SERVICES, INCLUDING, WITHOUT LIMITATION, THOSE FROM ANY NEGLIGENCE, ANY ACT OR OMISSION BY NAMEERA OR NAMEERA’S REPRESENTATIVES, OR UNDER ANY OTHER THEORY OF LAW OR EQUITY, WILL BE LIMITED TO, AND WILL NOT EXCEED, THE ACTUAL DOLLAR AMOUNT PAID BY THE CUSTOMER FOR THE SERVICES WHICH GAVE RISE TO SUCH DAMAGES, LOSSES AND CAUSES OF ACTIONS DURING THE 3-MONTH PERIOD PRIOR TO THE DATE THE DAMAGE OR LOSS OCCURRED OR THE CAUSE OF ACTION AROSE. NS, AT ITS DISCRETION, RESERVES THE RIGHT TO FIRE ANY CLIENT WITHOUT ANY GIVEN REASON OR PRIOR NOTICE.


Domain Resolution:
If we register your domain, the process can take up anywhere from 24 hours and up, depending on the registrar; but if we transfer your domain, the process can take up even longer, depending on what registrar your domain is registered with.


Site Activities:
We support the uncensored flow of information and ideas over the Internet and do not actively monitor subscriber activity under normal circumstances. Similarly, we do not exercise editorial control over the content of any web site, e-mail transmission, newsgroups, or other material created or accessible over or through the services, except for certain proprietary Web sites. However, in accordance with our Terms of Service, we may remove any materials that, in our sole discretion, may be illegal, may subject us to liability, or which may violate any existing law or any of Nameera's terms. Nameera may cooperate with legal authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrongdoing. Your violation of this terms may result in the suspension or immediate termination of either your Nameera account or other actions as detailed in this agreement WITHOUT PRIOR NOTICE.
NS disclaims any intention to censor, edit, or engage in ongoing review or surveillance of communications stored on or transmitted through its facilities by customers or others. NS will, however, review, delete, or block access to communications that may harm NS, its customers or third parties. The grounds on which NS may take such action include, but are not limited to, actual or potential violations of NS's Terms of Use.


Refund Policy:
Nameera Solutions does not issue refunds or prorate any fees.


Usage:
You may not use the service in any way that will cause an interruption of services to other users of our network or networks that are reachable by our network.


Misusage:
Neither subscribers sites contents, nor their views are necessarily those of Nameera Solutions; however Child Pornography, Harming a Minor, Harassment, Bestiality, Copy Right Infringement or Spamming will NOT be tolerated. NS strictly enforces a zero tolerance policy for SPAM (unsolicited commercial email). Accounts that have violated our SPAM policies will be immediately suspended from our service. Exceptional situations may permit Members to continue using NS Service however service charges will apply. NS will charge anyone, whose site was used to send spam, $1000.00 for each spam email sent, regardless who sent it. If you have to send a lot of emails, your email method and or layout will have to be approved by NS first.
You, as Nameera customer, are solely responsible for the content stored on and served by your Nameera server. Nameera reserves the right to terminate, and without notice, any account not abiding by the terms of this agreement. Further more, Nameera determines what is unlawful, indecent or objectionable at its sole discretion. You may not attempt to circumvent user authentication or security of any host, network or account. This includes, but is not limited to, accessing data not intended for you, logging into or making use of a server or account you are not expressly authorized to access, or probing the security of other networks. Use or distribution of tools designed for compromising security is prohibited. Examples of these tools include, but are not limited to, password guessing programs, cracking tools or network probing tools. You may not attempt to interfere with service to any user, host or network (denial of service attacks). This includes, but is not limited to, flooding of networks, deliberate attempts to overload a service, and attempts to "crash" a host.
Users who violate systems or network security may incur criminal or civil liability. Nameera Solutions will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in the investigation of suspected criminal violations. Nameera Solutions accounts operate on shared resources. Excessive use or abuse of these shared network resources by one customer may have a negative impact on all other customers. Misuse of network resources in a manner which impairs network performance is prohibited by this policy and may result in termination of your account. You are prohibited from excessive consumption of resources, including CPU time, memory, disk space and session time. You may not use resource-intensive programs which negatively impact other customers or the performances of Nameera Solutions systems or networks. Nameera Solutions reserves the right to terminate or limit such activities.


"Adult" site Definition:
Nameera Solutions considers an adult site: Any site whose revenue is gained in part or whole from its adult content. Photos or videos showing frontal nudity on either men or women for non-scientific or non artistic purposes. Revenue-generating hyperlinks to sites who meet the above two conditions. Because the Internet is a global communication tool, we have clients from many countries and religions, and our visitors are from various ages, it is difficult to dictate what is considered "adult material". It is not our function to discriminate against those who choose to utilize adult content or adult related material. There are several reasons why Nameera Solutions restricts some adult sites from its servers. A virtual server is a shared environment where many sites reside on each particular machine. An adult site can get more hits than 100 standard websites. Some of the smaller adult sites get around 5 GB of transfer per day. With these types of resources being utilized, our servers would be severely slowed if we allowed these high traffic sites to reside on our servers. On top of that, we would be forced to raise our prices to pay for the additional bandwidth. We strive to keep our servers fast and inexpensive, and our bandwidth clear; therefore, adult sites can be an expensive option. Nameera Solutions reserves the right to decide what it considers adult material, sexually explicit, or sexually related. Let us know if you are unsure of the approval of your site before placing an order!


Governing Law and Severability:
The NS's terms, and any other agreement for NS services, will be governed by and construed in accordance with the laws of the State of Florida, USA without reference to its conflicts of laws principles. Any litigation or arbitration between a customer and NS, will take place in a Florida town which will be determined by NS, and the customer will consent to personal jurisdiction and venue in that jurisdiction. If any provision or portion of the NS's terms or other NS agreement is found by a court of competent jurisdiction to be unenforceable for any reason, the remainder of the NS's terms or the agreement will continue in full force and effect.


Client Responsibility:
You are responsible for any misuse of your account, even if the inappropriate activity was committed by a friend, family member, guest or employee. Therefore, you must take steps to ensure that others do not gain unauthorized access to your account. In addition, you may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server.Your password provides access to your account. It is your responsibility to keep your password secure. Sharing your password and account access with unauthorized users is prohibited. You should take care to prevent others from using your account since you will be held responsible for such use. Attempting to obtain another user's account password is strictly prohibited, and may result in termination of service. You must adopt adequate security measures to prevent or minimize unauthorized use of your account.


Modifications:
NS may discontinue, upgrade, replace, modify, or change in any way, without limitation, any software, application, program, data, hardware, equipment, or portions or components thereof, used to provide customers with NS’s services. Certain changes to NS’s services may affect the operation of customers’ personalized applications and content. Each customer is solely responsible, and NS is not liable, for any and all such personalized applications and content, except as expressly agreed to by NS.


Backup of Data:
Except where NS has expressly agreed in writing to the contrary, customers are solely and entirely responsible, and NS is in NO way responsible, for the management and backup of all customer data, and all updates, upgrades, and patches to any software that customers use in connection with NS services.


Third Party Licenses:
NS makes a reasonable effort to provide customers with technologies, developments, and innovations (collectively "Technologies"), part of which may be licensed, or co-branded, from or by, third party entities. However, NS makes NO warranty of any kind, either express or implied, regarding the quality, accuracy, reliability, validity, or continued existence of any or all aspects of such Technologies. Moreover, NS specifically disclaims all warranties of merchantability and and fitness for a particular purpose for such Technologies. Furthermore, no customer will hold NS liable in any way for the revocation of any license, which has been licensed to NS. The use of the Technologies obtained from or through NS, or any other referred third party, whether directly or indirectly, is at the sole risk of customers.


Non-NS Products:
Any mention of non-NS products by NS, its employees, or any third party entity related to NS is for information purposes only and does not constitute an endorsement or recommendation by NS. NS disclaims any and all liabilities for any representation or warranty made by the vendors of such non-NS products or services.


NS's Intellectual Property:
Customers will not, without NS’s express written consent, copy, reproduce, republish, or otherwise use any material, in whole or in part, that is located on NS’s web site, and customers will not use any of NS’s trademarks, service marks, copyrighted materials, or other intellectual property without NS’s express written consent. Customers will not, in any way, misrepresent their relationship with NS, attempt to pass themselves off as NS, or claim that customers are NS.


Assignment:
Customers may not assign or delegate their rights or obligations under the NS's terms or other agreement for NS’s services, either in whole or in part, without the prior written consent of NS.


Minimum Age Requirement:
NS customers must be at least 18 years of age. Any individual under the age of 18 years must have a parent or guardian accept the NS's terms in order for the Minor to become a NS customer. A parent or guardian who accepts the NS's terms on behalf of a Minor will be primarily liable for ensuring complete and proper compliance with the NS's terms, including the timely and full payment of the charges for NS services, and such primary liability will continue even when the Minor has attained the age of 18, unless the parent or guardian obtains NS’s express written consent to the contrary. Any acceptance of the NS's terms or any other agreement for NS’s services will be deemed null and void to the extent that NS will not be liable in any way as a result of the Minor’s age or legal incapacity or the Minor’s use of NS’s services.


Force Majeure:
NS will not be liable for delays in its performance of the NS's terms or NS services caused by circumstances beyond NS’s reasonable control, including acts of God, wars, insurrection, civil commotions, riots, national disasters, earthquakes, strikes, fires, floods, water damage, explosions, shortages of labor or materials, labor disputes, transportation problems, accidents, embargoes, or governmental restrictions (collectively "Force Majeure"). NS will make reasonable efforts to reduce to a minimum and mitigate the effect of any Force Majeure. Notwithstanding anything contained elsewhere herein, lack of finances will not be considered an event of Force Majeure nor will any event of Force Majeure suspend any obligation of customers for the payment of money due. Waiver and AmendmentAny waiver, modification, or amendment of any provision of the NS's terms or other agreement for NS services, initiated by a customer, will be effective only if accepted in writing and signed by an authorized representative of NS.


Independent Contractors:
Nothing in this Agreement will be construed as creating a partnership or relationship of employer and employee, principal and agent, partnership or joint venture between NS and its customers. Each of NS and its customers will be deemed an independent contractor at all times and will have no right or authority to assume or create any obligation on behalf of the other, except as may be expressly provided herein.


Complete Agreement and Exclusivity:
The NS's terms, and/or any other specific agreement for NS services, constitutes the complete understanding and agreement between NS and its customers. Except when expressly agreed to the contrary in signed writing by an authorized representative of NS, the NS's terms supersedes any other written (including digitized/computerized) agreement, oral agreement, and/or agreement by conduct. This NS's terms, and/or any other specific agreement for NS services is between NS and its customers only and will not confer any rights in any third party except as otherwise expressly provided by NS.In the event of disagreement, NS's decision will be final.


Payments:
All charges are shown in US Dollars. Payments are to be made in US funds. NS accepts the following types of payment:
- Credit card (VISA, MasterCard, American Express, Discover)
- PayPal
All payments are due on the Account Statement Date. The Account Statement Date is the monthly anniversary of the date the account was activated. If you provide NS with your credit card information, you authorize NS to automatically charge your credit or debit card for charges that apply to your account. Recurring charges will be posted to your credit card until such time that you cancel your account in accordance with NS’s Billing Policy in the NS's terms. Charges subsequent to your initial order will accumulate in your account until such charges exceed $9.95. NS will then automatically charge your credit card on the next Account Statement Date. You are responsible for directly updating, or notifying NS, of any changes to your credit card (including, but not limited to card number, expiration date, billing address, or card status).
Customers not paying by credit card agree to make payment of their balance due, within ten 10 days prior to the Account Statement Date.
Accounts that are 1 day past due will be automatically suspended. All past due and unpaid balances are subject to collection. In the event of collection, you will be liable for costs of collection including attorney’s fees, court costs, and collection agency fees.


Billing Cycles (Terms):
NS offers three Billing Cycles (terms) for hosting charges: Monthly, Quarterly (3 months) and Yearly (12 months). The Billing Cycle begins on the Plan Activation Date. Resellers are limited to the monthly Billing Cycle for all of their charges. Non-credit card payment methods are limited to Annual or Quarterly Billing Cycles. Domain fees are paid yearly.
You may elect to change your Billing Cycle at any time; however, the new Billing Cycle will only take effect at the time of the next plan renewal.
All additional features added to an account are charged monthly. Additional items are non-refundable.


Account Renewals:
In order to insure uninterrupted service to your website, all plans will automatically renew at the end of the plan’s Billing Cycle. Plan renewal charges are based on the prevailing rate on the date of renewal according to the service selected. Plans are renewed for the same billing cycle. If you wish to cancel your plan before plan renewal, please refer to the Cancellation section below.


Statements:
NS does not mail paper invoices or statements. Customers may elect to receive their monthly account billing statement via email.


Fees:
* Returned (NSF) Checks: NS charges a $25.00 fee for returned checks. Customers that issue an NSF check will be required to submit future payments with a certified check or money order.
* Credit Card Chargebacks: A $25.00 chargeback fee will be assessed for each credit card chargeback received by NS.
* Bank Wire Payments: NS does NOT charge fees for accepting payment via bank wire, however, international wire transfers may be assessed a US$20.00 processing fee by an intermediary bank in New York. In addition, your issuing bank may also charge a fee for sending the wire. Please add these fees to the amount that you are sending to NS or the amount credited to your account will be less than your intended payment.
* Reactivation: Customers that wish to reactivate a closed account will be assessed a $25.00 reactivation fee. A $99.95 fee will be assessed if NS restores your data files to your reactivated account.
* Hosting Plan Changes: Customers electing to change to a lower priced hosting plan on the same platform will be charged a $25.00 downgrade fee. There is no upgrade fee for upgrading to a higher priced plan; however, you will be charged any difference between the setup fee applicable to your new and former plans.


Cancellations:
Hosting plans will automatically renew until a plan is cancelled. In order to cancel service, you must contact NS's Billing Team. NS's billing representatives will assist you with the cancellation process. Please be aware that there are no pro-rated refunds!
Cancellation requests must be received by NS a minimum of 10 days prior to the end of your Billing Cycle. Cancellations submitted later than this time may result in automatic renewal of your hosting plan. Cancellations become effective on the day processed by NS. NS is unable to cancel your account effective for a future date. NS will confirm the cancellation request when it is processed. If you do not receive a confirmation, please contact NS as soon as possible.
NS does not monitor, and will not automatically cancel, plans for problems related to domain name transfers, non-usage, Internic, your ISP, or any other secondary issues not directly related to NS's services. Cancellation of services does not relieve the customer from paying any outstanding balance owed on the account. NS Corporation reserves the right to cancel any account, at any time, without notice, for any reason NS Corporation considers appropriate. Further more, whatever content is left on the site will be forfitted and will become NS's property.


30 Day Trial Option:
Each new NS client can get a 30-day trial upon request and at the time of the application. Trial period has to be approved by NS first. If a trial period is approved and you are not completely satisfied with our services or support within the first 30 days, you will be given a full refund of the fees paid in advance, excluding fees for setup, domain, or for any resources or bandwidth used, upon plan cancellation. The following services do not qualify for the free trial: addon items and services, domain name registration, dedicated servers, items and services ordered through the reseller program, domain parking plus, any bandwidth usage and overage fees.


Credit Card Disputes/Chargebacks:
NS has a zero tolerance policy for chargebacks. Any customer who disputes a credit card payment is subject to a fine, suspension and account termination at NS's discretion. A charge of $25.00 per chargeback will be assessed to all accounts that receive a chargeback.


Billing/Price Changes:
NS's policies and prices are subject to change without notice. Any price changes become effective in the next billing cycle.
